The PickyBuy Platform Promotion Agreement you are reviewing is jointly signed by PickyBuy and its promoters. 1. Key notes

1.1 Please carefully read and fully understand all the terms and conditions in the PickyBuy Platform Promotion Agreement, especially those related to the rights and obligations of both parties, the operation mode of the promotion alliance, and the rules for obtaining and distributing bonuses. Unless you accept this agreement and all its terms, you will not be able to use PickyBuy's promotional alliance tools. Clicking the "Read and Agree" button will be deemed as your full acceptance of this agreement and all its terms.

1.2 With the rapid evolution of the Internet, the terms listed in this agreement may not fully list and cover all the rights and obligations between you and us, and the existing terms may not fully meet the future development needs. Therefore, this agreement may be revised as necessary for expression or to adapt to changes in the execution environment. We will publish the revised agreement on PickyBuy and notify you in an appropriate manner. If you have any objections to the revised agreement, please immediately stop using our "Promotion Alliance" marketing tool. If you continue to use the "Promotion Alliance" marketing tool, it will be deemed that you have accepted the revised agreement. If you have any objections to the changes, you have the right to provide feedback to us before the changes take effect. If your feedback is accepted, we will make reasonable adjustments to the changes. If you still have objections to the effective changes, you should stop using our services before the effective date of the changes, and the effective changes will not have any effect on you.

2.Definition

2.1 PickyBuy: In this agreement, "we" refers to the PickyBuy open platform that operates the "www.pickybuy.com" website and mobile terminals (such as mobile web pages, apps, mini-programs, etc.). This platform is an e-commerce transaction service platform that provides users with services such as searching, browsing, and purchasing products from third-party e-commerce platform on their behalf as well as other technical services.

2.2 PickyBuy Promoter: In this agreement, "you" refers to an individual or group user who logs into our website, uses PickyBuy's "Promotion Alliance" marketing tools and services, has the corresponding ability to perform PickyBuy marketing services, and has accepted all terms of this promotion agreement. Abbreviated as PickyBuy Promoter.


2.3 Promoted users: Refers to PickyBuy users who have been guided to our website or app to successfully register a new account and have established a binding relationship with you through the exclusive registration QR code/registration link/corresponding link to the promoted product you shared.

3.Promotion commission

3.1 Definition and settlement of promotion commission:

1) The definition of promotion commission: Promotion commission comes from the actual logistics fees paid by your promotional users for international packages submitted on our website (excluding discount amounts such as coupons, VIP discounts, platform discounts, and special product discounts used). These bonuses will be calculated and settled based on the commission rate corresponding to your promotion level. The commission rate and settlement standards have been announced on the PickyBuy Promotion Alliance page. We reserve the right to unilaterally adjust the bonus settlement standards based on the development needs of the industry and our own business, and will implement them after the announcement.

2) The process of obtaining and settling promotion commissions: When your promotion users register through a registration QR code/registration link/promotion sharing product link with your exclusive tracking parameters and submit to send international packages, PickyBuy's bonus settlement system will automatically calculate the estimated promotion commission generated for each package based on the bonus settlement standards. At this time, the initial settlement status is "waiting for settlement". When the package order status shows "confirmed receipt" or after 45 days from the shipment date, if we do not find any cheating or prohibited behavior from this agreement, PickyBuy's bonus settlement system will complete the settlement of your promotion commission, and the final settlement status will change to "settled". Within 60 days after the settlement is completed, you can claim the "Withdrawable Bonus" to "My Alliance Balance" and then withdraw it.

3.2 You acknowledge that if any of the following situations occur, we have the right not to pay you any bonuses and you will not be able to withdraw any profits:

1) Promoting competitor platforms: Promoters who engage in promotional activities for other cross-border purchasing platforms similar in nature to PickyBuy will lose the right to acquire new promotional users and commissions through promotional alliances.

2) Fraudulent behavior: Promoters use deception, false advertising, and other means to deceive more promotional users into registering and obtaining higher commissions, including but not limited to: excessively exaggerating the platform's services or functions in promotional activities to attract more promotional users, such as providing false ultra-low discounts, false high-value coupons; Brushing orders and promoting volume; Download unofficial clients; Using illegal tools such as emulators, plugins, and plugins to scan, download, install, register, log in, give away, collect living expenses, and withdraw funds; Register multiple accounts; Tampering device data; Malicious profiteering and disrupting platform order; Using plugins, plugins, systems, or third-party tools to interfere, damage, modify, or exert other influences on the platform, as well as other improper means that we deem appropriate;

3) Illegal behavior: Promoters engage in behaviors that violate laws, regulations, or platform regulations during promotional activities, including but not limited to infringement, spreading rumors, spreading violence, pornography, political provocative information, etc;

4) Interference with the normal operation of the platform: Promoters use technical or other means to attack, destroy or interfere with the platform, and use platform promotion activities to carry out network attacks or spread viruses, etc;

5) Malicious competition: Promoters use platform promotion alliances to engage in malicious competition, including but not limited to stealing the labor achievements of other promoters, attacking and slandering other promoters, or engaging in other behaviors that infringe upon the legitimate rights and interests of other promoters;

6) Publishing false information: Promoters publish information that violates national laws, administrative regulations, or infringes on the legitimate rights and interests of third parties, including but not limited to intellectual property, portrait rights, etc.

7) Infringement of personal information: Promoters illegally obtain and disseminate personal information of promotional users during the promotion process.

8) Violation of contract terms: Promoters shall not violate any terms of the promotion alliance agreement, including but not limited to promotion rules, bonus acquisition process, etc.

4. Our rights and obligations

4.1 We guarantee that we and our affiliated companies are legitimate operators of PickyBuy.

4.2 We guarantee to provide you with authentic and reliable promotional data.

4.3 We guarantee to confirm, settle and pay the bonus fees on time in accordance with the provisions of this agreement.

4.4 In non force majeure circumstances, we guarantee to ensure the confidentiality of the relevant personal information you provide.

4.5 According to business needs, we have the right to adjust, change or terminate the promotion alliance activities and will notify you in a timely manner.

4.6 We have the right to review and supervise your promotional activities to ensure their legality and standardization. For suspected violations, we will decide to suspend your use of the promotion alliance function or prohibit you from extracting any profits based on our independent judgment of the actual situation (nature and severity of the violation).

4.7 We have the right to interpret the meaning of the terms of this agreement and may interpret and supplement them as necessary.

4.8 We have the right to collect and use data related to the PickyBuy platform (including but not limited to sales quantity, amount, category, etc.). You agree to use the data obtained from the PickyBuy platform only for the reasonable purpose of fulfilling this agreement and not to misuse or authorize third parties to use it without our confirmation.

4.9 You understand and agree that due to service risks, operational management needs, or other good faith reasons and reasons (including but not limited to force majeure, product or service optimization, upgrading, maintenance, equipment maintenance, etc.), we may terminate or terminate all or part of the functions of this cooperation information technology service in advance. In this case, we will make the announcement as early as possible. Our public announcement is considered a valid notice and we are not responsible for it.

5.Your rights and obligations

5.1 You agree to promote on websites or promotion channels that you own or have legal business and agency rights in accordance with the promotion methods confirmed by us, including but not limited to by placing the promotion links we provide under this agreement. You have an obligation to ensure the authenticity, accuracy, and compliance of the promotional content, while not infringing on the legitimate rights and interests of us or any third party. If the information you publish violates relevant laws and regulations, or infringes upon the legitimate rights and interests of us or any third party, we have the right to restrict your promotion and profit rights. Any disputes, disputes, lawsuits, arbitration, penalties or compensation arising from this will be handled by you on your own, and you will bear relevant legal responsibilities, which are not related to us.

5.2 You have an obligation to comply with our promotional policies and regulations, and shall not engage in false advertising, misleading behavior, or other violations. You shall not use your relationship with us or our affiliated companies in any way to publish false or misleading information to the outside world, or allow such information to exist on your promotional media. If you violate this agreement, we have the right to restrict your promotion and profit rights, and require you to correct it within the specified time. Otherwise, we have the right to immediately unilaterally terminate this agreement, cancel your eligibility as a PickyBuy promoter, and require you to pay a penalty for breach of contract based on all bonuses received and profits extracted. Meanwhile, if any losses are caused to us or our affiliated companies as a result, we have the right to demand that you bear full compensation responsibility.

5.3 You have an obligation to provide necessary reports, data, and information as per our requirements to evaluate the effectiveness of the promotion.

5.4 You have an obligation to protect our trade secrets and intellectual property, and shall not disclose, steal, or misuse relevant information.

5.5 You have the right to access and use the promotional tools we provide for better promotional activities.

5.6. Based on your promotional achievements, you are entitled to enjoy the rewards and commissions you receive.

5.7 You have the right to provide us with feedback and suggestions to optimize cooperation methods and promotion strategies.

5.8 You are not allowed to carry out any form of promotion work for cross-border purchasing platforms similar to PickyBuy's business, otherwise PickyBuy has the right to disable your promoter function. During the period when the promoter function is prohibited:

1) All functions related to the promotion alliance will not be available for use

2) Unable to rely on promotional links and QR codes to acquire new promotional users

3) Unable to continue receiving commission

5.9 You are not allowed to directly or indirectly provide material or spiritual improper benefits, including but not limited to cash, physical goods, cash equivalents, labor, tourism, etc., to our or its affiliated company employees and their stakeholders, or to conflict of interest with us without prior notice, which can be considered as your commercial bribery behavior. In addition, you are not allowed to use content cooperation information technology services to engage in any other illegal activities such as money laundering and pyramid schemes. Otherwise, we may immediately terminate all cooperation with you and charge you liquidated damages and/or compensation, which shall be calculated based on the economic losses and goodwill losses suffered by us due to your illegal activities. We have the right to deduct from your prepaid amount. If the prepaid amount is insufficient, our company has the right to recover from you. We also have the right to report to the relevant regulatory authorities in accordance with the law and cooperate with their investigations;


5.10 You are not allowed to include the following content in your own or cooperative promotional media and content, otherwise we have the right to remove such content:

1) Promote pornography, violence, gambling, discrimination based on race, gender, religious beliefs, nationality, disability, sexual orientation or age;

2) Promote any illegal, harmful, threatening, defamatory, harassing, or other offensive behavior;

3) Suspected of pyramid schemes, financial fraud, or significant public opinion;

4) The domain name is similar to the PickyBuy platform, including but not limited to similarity, variation, spelling errors, etc;

5) Content that infringes on the intellectual property, public image, or privacy of any third party (including our affiliated companies);

6) Content that misleads consumers, including fraud and false advertising;

7) Other content that violates laws, regulations, international treaties, or public order and good customs.

5.11 You should ensure that the products provided through promotional links published through promotional media are clearly distinguished from any similar or substantially similar products and/or services provided by any third party to avoid confusion or misleading users. You shall not affect or interfere with the normal operation of the PickyBuy platform in any way.

5.12 Unless you have obtained our written permission in advance, during the cooperation period, you cannot cooperate with sub promoters under the name of the PickyBuy platform, such as by charging fees or cooperating in cash, vouchers, points, etc. If such a situation is found, we have the right to immediately unilaterally terminate the agreement and cancel your eligibility as a PickyBuy promoter. In addition, we have the right to deduct all unpaid bonuses and treat them as liquidated damages that you should pay.

5.13 You are not allowed to engage in any illegal promotional activities on the platform. For example, you cannot purchase user comments or other resources on the PickyBuy platform, or incite users to help you promote in comments. This includes direct or indirect promotion methods, such as posting websites, channels, products, etc. with your promotion link in comments, or product QR codes with your information; Or indirectly publish some discord/diagram groups, TikTok accounts, YouTube accounts, microblog accounts, official account, website addresses, etc., which are mainly promoted by you.

You are also not allowed to post information on low-priced products in any resources on the PickyBuy platform, with the aim of attracting platform users to purchase products by joining Discord/Telegram groups or other social groups, or posting low-priced products to attract users to purchase, and then shipping them to buyers through purchasing agents. This behavior will disrupt the normal market order and infringe on the rights and interests of users.

5.14 When conducting promotional activities, you must strictly comply with all applicable laws and regulations, which cover the protection of user information, personal information and privacy rights, as well as ensuring network security operation and other aspects. You cannot collect personal information from users on behalf of the PickyBuy platform without authorization, nor can you maliciously crawl user personal information.

If you need to collect personal information from users due to your own reasons, you must follow the principles of legality, legitimacy, and necessity, clearly explain the purpose, method, and scope of collecting and using information to users, and obtain their explicit consent. If you violate this clause, we have the right to unilaterally terminate the contract and demand that you refund all bonuses and profits already received, as well as compensate us for all losses suffered as a result.

5.15  If your promotion alliance function is disabled due to serious violations, the promotion commission and other benefits in your promotion account will be reset to zero, and you will not be able to withdraw these benefits. Please make sure to comply with our rules and guidelines to ensure the smooth progress of your promotional activities.

6.Intellectual Property

6.1 We reserve the copyright of all information content on the PickyBuy platform, including but not limited to text, images, software, audio, and video, with the only exception being promotional space/product/service information posted by PickyBuy platform users. Any authorized browsing, copying, printing, and dissemination of information content on the PickyBuy platform is not allowed for commercial purposes, and all information content and any use of it must include this intellectual property statement.

All products, technologies, and programs within the PickyBuy platform are our intellectual property, including but not limited to trademark rights, patent rights, copyrights, trade secrets, etc. You are not allowed to use, modify, reproduce in whole or in part, publicly disseminate, alter, distribute, publish or express our website and applications without authorization (including but not limited to: copying, disseminating, displaying, mirroring, uploading, downloading through illegal means), nor to reprint, reference, link, crawl, reverse engineer, reverse assemble, or decompile our website and applications. Otherwise, we and our affiliated companies will hold you legally responsible in accordance with the law.

6.2 You are not allowed to apply for or register any intellectual property rights enjoyed by us and our affiliates in any country or region, including trademarks, patents, copyrights, and domain names. If you violate this clause, you agree that the intellectual property registered in breach belongs to us, and you should transfer this intellectual property to us free of charge, assist in signing the transfer documents, and bear the transfer costs and administrative transfer costs.

If your behavior causes us losses (including but not limited to litigation compensation, litigation costs, lawyer fees, etc.), you should compensate us in full. Please fully respect our intellectual property rights when conducting any activities to avoid unnecessary legal issues.

7.Confidentiality Responsibility

7.1 You shall ensure strict confidentiality of all information related to us and our affiliated companies, products, etc. that you obtain or become aware of from the PickyBuy platform and can reasonably be considered confidential (hereinafter collectively referred to as "Confidential Information"), including but not limited to sales data, user information, etc. You may not directly or indirectly use confidential information without our written consent, nor may you disclose or allow any third party to use confidential information, unless these actions are for the purpose of fulfilling this agreement.


7.2 You shall not disclose or disclose the contents of this agreement or our trade secrets obtained through the execution of this agreement to any third party other than us and our affiliated companies. Trade secrets include but are not limited to current and future business data, customer lists, technical information, software programs, finances, and other information that may harm our interests or affect our business. However, except in the case of disclosure to competent authorities (such as government law enforcement or judicial authorities) in accordance with relevant laws, or disclosure of our relevant information to your affiliated companies for the purpose of executing this agreement.

7.3 The invalidity, termination, early termination, or inaction in accordance with this agreement shall not result in the disappearance of confidentiality obligations. The confidentiality obligation will continue until we agree to release it, or the actual situation will not cause any form of damage to either party due to the violation of confidentiality obligations.

8.Force Majeure and Exemption Clause

8.1 If you engage in any of the following behaviors (including but not limited to), we do not assume any related responsibility:

1) If you fail to properly protect your promotional account, password, and personal information, resulting in the leakage or theft of account information, we will not be responsible for compensating for this part of the loss.

2) Any expenses, losses, or liabilities arising from your promotional activities, including but not limited to advertising costs, compensation costs, or legal litigation costs, shall be borne by you and we will not be responsible for them.

3) If your promotional account is closed due to your violation of social media community regulations, community self-discipline conventions, and platform rules, we will not be responsible for such incidents.

4) During the promotion process, if there are any disputes regarding transactions or cooperation with third parties, you should resolve them on your own and we will not be responsible for them.

5) We will not be liable for any disputes or legal liabilities arising from your paid promotion (including but not limited to monetary, physical, point based, etc.) in various promotion channels and channels without our consent.

6) If you voluntarily or unintentionally disclose personal information to others, resulting in the risk of information leakage, we will not assume any responsibility.

8.2 We do not assume any responsibility in the event of force majeure events or situations beyond our control or foresight

1) Force majeure events include but are not limited to unforeseeable or unavoidable events such as natural disasters, wars, government actions, labor disputes, power supply interruptions, network failures, computer viruses, hacker attacks, platform system downtime and maintenance, or adverse weather.

2) During these uncontrollable events, we will do our best to take reasonable measures to minimize the impact of these events on promotional activities, and we will maintain communication and negotiation with you in order to resume normal promotional activities as soon as possible.

3) But it should be clarified that we will not be responsible for any losses, damages, or additional costs caused by such force majeure events. This includes but is not limited to interruptions in promotional activities, loss of profits, or any indirect losses caused by such events.

9. Liability for breach of contract

9.1 [Breach of Contract Compensation]: If you violate this agreement and result in complaints or litigation claims from third parties, you shall independently handle and bear all possible legal responsibilities arising from this. If your illegal or breach of contract results in us and our affiliated companies compensating any third party or being punished by national authorities, you shall also compensate us and our affiliated companies for all losses incurred as a result, including our direct economic losses, loss of goodwill, and indirect economic losses used to pay compensation, settlement fees, lawyer fees, litigation fees, guarantee fees, etc.

9.2 If you violate the provisions of this agreement due to non force majeure factors and fail to make corrections within 3 working days after we provide written or email notice, we have the right to terminate the cooperation relationship, suspend or prohibit your use of the promotion function, deduct settled promotion commissions, freeze pending promotion bonuses, and have the right to claim back all paid bonus fees from you. You must also compensate us and our affiliated companies for all losses incurred as a result.

9.3 If both parties are at fault, each party shall bear corresponding breach of contract liability according to their respective degree of fault. However, in any case, our total liability under this contract shall not exceed the total amount of bonus fees that we are due and have paid to you.

9.4 You need to ensure the authenticity of all materials submitted to us, including registration information (including identity information), bank account information, contact information, etc. If any information you provide is untrue, we have the right to immediately suspend or terminate your account, not pay any bonus fees, and terminate our cooperation with you. At the same time, we have the right to recover all the bonus fees that have been paid from you and can demand that you compensate us or our affiliated companies for all losses incurred as a result.


9.5 You promise that you or your sub promoters will strictly abide by the principle of honest business operations. If any of the following situations occur, we have the right to immediately terminate this agreement. If this causes any losses to PickyBuy platform/other platforms recognized by PickyBuy platform/us, you should compensate in full, and we have the right to impose corresponding penalties on you:

1) If it is suspected of using the PickyBuy platform for fraud or other illegal activities, we have the right to unilaterally independently determine this.

2) If you are complained about by any third party or dealt with by relevant judicial or administrative authorities.

3) If the functionality of the PickyBuy platform is maliciously exploited, any device, software, or conventional means are used to intervene or attempt to intervene in the normal operation of the PickyBuy platform.

4) Using computer viruses/programs and other means to illegally obtain, delete, modify or add any information about other promoters, users, or store products, or in any other way disrupt the normal operation of other functions on the PickyBuy platform.

5) If we allow others to use the PickyBuy platform without our written consent, or transfer all or part of the PickyBuy platform's functions to others without authorization (including but not limited to allowing others to use their account to promote the PickyBuy platform, or transferring or disclosing their account to others without authorization).

6) Creating links of any nature without authorization and promoting them on other media, especially without resorting to cheating methods such as creating and installing Trojan programs for promotion.

7) Utilize vulnerabilities in the PickyBuy platform to seek benefits, or use improper methods or techniques to evade the provisions and rules of this agreement.

8) Other serious violations or breaches of this agreement.

9.6 If your actions result in us or/and our affiliates or other complying parties facing third-party claims and require us or/and our affiliates or other complying parties to make monetary payments or fulfill other obligations to the third party, then we or/and our affiliates or other complying parties have the right to recover all losses from you after fulfilling these obligations.

10.Anti cheating regulations

10.1 During the cooperation process, we have the right to monitor your promotion methods. You are not allowed to use any device, program, or other illegal or improper means, including any deceptive behavior, to improve your performance in various data indicators under our monitoring. We or the anti cheating department of PickyBuy platform will use technical means to determine whether you have engaged in cheating behavior, and the judgment result will be the final decision basis.


10.2 Your cheating behavior during the promotion process in relevant channels includes but is not limited to the following situations:

1) Traffic cheating: including but not limited to traffic hijacking, abnormal traffic, and highly similar user behavior in multiple transactions. The judgment of traffic cheating will be based on the anti cheating identification results of PickyBuy platform. Please be clear that due to objective and practical factors such as not necessarily one-to-one correspondence with transactions, if any traffic cheating behavior is found, we will not settle all relevant profits for the current month, regardless of whether these profits directly correspond to traffic cheating.

2) Traffic hijacking: If you hijack normal traffic through unconventional means such as viruses, Trojans, malicious plugins, or unauthorized software bundled installation, setting up the homepage, hijacking the address bar or browser, stealing PickyBuy website pages, cheating search engines, tampering with user information, or hijacking normal traffic through link hijacking, DNS hijacking, ARP attacks, etc., or hijacking our or our partners' normal traffic (including PickyBuy platform websites, etc.) by changing URL parameters or pop ups (floating windows) during the normal browsing process of users, these are considered traffic hijacking;

3) Traffic anomaly: execute or generate unconventional browsing, clicking, trading behavior, etc. through programs, scripts, simulations, or other means. By rewarding, inducing clicks, pop ups, and automatically simulating user clicks, unconventional browsing, clicking, and trading behaviors are generated;

4) Other data anomalies that PickyBuy platform has reason to prove, such as traffic sources, distribution, etc.

10.3 We have the right to determine whether you need to be limited to rectification based on the severity of your cheating behavior and report the results of the rectification. If we acknowledge the rectification results, both parties can resume cooperation. However, if you refuse to rectify, fail to rectify within the deadline, or have unsatisfactory rectification results, we have the right to unilaterally terminate this agreement and we will not pay any unpaid fees.

If the cheating behavior is serious, we have the right to unilaterally terminate the agreement and demand that you bear the liability for breach of contract, and compensate twice the amount of profits generated during the cheating period. If the penalty is not sufficient to compensate for the loss, you should also make up for it. The specific compensation methods can include but are not limited to: deducting unsettled amounts, undelivered profits, cash compensation, etc.

For serious cases, we have the right to transfer the matter to the relevant judicial or administrative departments for handling.

11.Supplementary Provisions

11.1 PickyBuy will periodically revise these rules and make them public in accordance with relevant laws and regulations. If you have any questions about the revised rules, we suggest that you consult customer service on the PickyBuy platform. Our customer service personnel will do their best to answer all questions regarding the content of the rules, helping you understand and adapt to changes in these rules.
11.2 The signing, entry into force, implementation, interpretation, modification, termination and related dispute settlement of this agreement will be handled in accordance with the laws of Chinese Mainland (here, Chinese Mainland refers to the main part of the People's Republic of China excluding Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan)
